Version of 16 October 2026

This agreement (the "Agreement") is a public offer by Qajet Corporation LLP, BIN 250740031749, address: 160A Raiymbek Avenue, Almaly District, Almaty 050061, Kazakhstan (the "Company"), addressed to drivers, and is made under Article 26-2 of the Law of the Republic of Kazakhstan "On Automobile Transport". It supplements the User Agreement; where they conflict in the relationship with a driver, this Agreement applies.

1. Subject

1.1. The Company gives the driver access to the Qajet Service, through which the driver receives passengers' taxi orders, route and passenger information, fare calculation and settlement records; the driver pays the Company a commission and follows this Agreement.

1.2. The driver provides carriage of passengers and luggage in their own name, independently and at their own risk, as a taxi carrier. This is not an employment contract: the driver decides when to go on shift and which orders to accept, is not subject to the Company's work rules and receives no salary from it.

2. Requirements for drivers

2.1. Throughout the Agreement the driver confirms and undertakes that:

  1. they are at least [21] years old and hold a valid category B driving licence with at least [3] years of driving experience;
  2. they have the right to use the car they work with (as owner, as lessee, including under Article 26-1 of the Law "On Automobile Transport", or under a power of attorney);
  3. the car is registered in the Republic of Kazakhstan, roadworthy, has passed its mandatory technical inspection, and is covered by compulsory motor third-party liability insurance and any other insurance mandatory for taxi carriers;
  4. they are entered in the register of individuals in platform employment or, if working as an individual entrepreneur or legal entity, have filed a notice of starting business as a taxi carrier with the local executive body;
  5. they comply with the requirements of Article 26(2) of the Law "On Automobile Transport" that apply to them, including pre-trip and post-trip medical checks, a daily technical check of the car, and working and rest time rules;
  6. they never drive under the influence of alcohol or drugs, of medicines that slow reactions, or while tired.

2.2. At the Company's request the driver provides documents confirming these requirements within a reasonable time. The Company may check them, as Article 26(2-2) of the Law "On Automobile Transport" requires.

3. Registration and document review

3.1. To be admitted, the driver uploads to the App photos of both sides of their driving licence and the vehicle registration certificate.

3.2. The data on the photos may be read automatically. Automatic reading through Anthropic (USA) happens only with the driver's separate consent to the cross-border transfer; without it the driver enters the data by hand. Either way the driver checks the data and is responsible for its accuracy.

3.3. A Company employee compares the data with the photos and admits the driver or refuses, stating the reason. After a refusal the driver can replace the photos and submit again. Car details come from the registration certificate; changing car requires a new review.

3.4. The driver must tell the Company and update the documents when they are replaced or expire, when the driver loses the right to drive, or when the car changes.

4. Orders

4.1. The driver goes on shift in the App. On shift the App sends the driver's location every 3–5 seconds, including in the background. A shift ends when the driver ends it, on switching to the passenger role, or automatically if no location arrives for 15 minutes.

4.2. The Service offers an order to the driver for a limited time (currently 15 seconds) and shows the addresses, distance, fare and payment method. The driver may accept or decline; declining carries no penalty.

4.3. Having accepted an order, the driver must arrive in the car shown in the App, mark arrival, start and end of the trip, and drive the passenger along the chosen route. The driver may cancel an order before the trip starts; frequent cancellations count towards quality assessment.

4.4. The driver must not: hand an order to someone else; work in a car not shown in the App; ask for more than the fare shown in the App; use a passenger's contact details for anything but the order.

5. Fares and payment

5.1. The fare is calculated by the Service from the tariff and shown to the driver before accepting. By accepting, the driver agrees to do the trip for that fare. [Lawyer: check whether the Company setting the price is compatible with the independent carrier model.]

5.2. Payment methods:

  1. Cash: the driver collects payment from the passenger.
  2. Transfer: the passenger transfers the fare to the driver's account using the details the driver gave in the App. The driver can turn transfers off. The driver must truthfully confirm that a transfer arrived or report that it did not. A false confirmation or false report is grounds for blocking.
  3. Bank card: the Company accepts the passenger's payment through the payment provider in the name and for the benefit of the driver and credits the fare to the driver's balance. If the card charge fails, the driver collects payment in cash or by transfer and marks this in the App. [Lawyer: document the agency model.]

5.3. If the Company refunds a card payment to a passenger on a justified complaint, the refunded amount is debited from the driver's balance; the commission is not returned.

6. Commission

6.1. For the information and dispatch service the driver pays the Company a commission as a percentage of the fare. The rate is set per tariff and published in the App. As of this version the commission is 0 %.

6.2. Each order uses the rate in force when the passenger placed it. The Company announces a change of rate in the App at least [7] calendar days in advance; the new rate applies to orders placed after it takes effect.

6.3. The commission is debited from the driver's balance when the trip is completed, whatever the payment method. [Lawyer: VAT and tax treatment of the commission.]

7. Balance, top-ups and payouts

7.1. The balance is a record, in tenge, of mutual settlements between the driver and the Company. It is not a bank account or electronic money and earns no interest.

7.2. Fares of card-paid trips and top-ups are credited to the balance; commission, refunds and payouts are debited.

7.3. Top-up. The driver transfers money to the Company's account using the details (IBAN KZ09722S000047344410, Kaspi Bank JSC) shown in the App and submits a request with the amount. The balance is credited after a Company employee checks that the money arrived.

7.4. Negative balance. While the balance is below zero the driver cannot go on shift or accept orders; a running shift ends.

7.5. Payout. The driver may request a payout of up to the positive balance to their transfer details. Only one request can be open at a time. A Company employee reviews it and sends the money within [3] working days or rejects it with a reason. The balance is reduced once the money is sent.

7.6. The Company may hold a payout while checking it if there are reasonable grounds to suspect fraud, or up to the amount of an open passenger complaint about a card-paid trip.

8. Taxes

The driver pays their own taxes and social payments on their income. Where the law of the Republic of Kazakhstan makes the Company a tax agent or internet platform operator (including duties to withhold taxes and social payments from the income of individuals in platform employment and to issue receipts), the Company performs those duties and the driver provides the information needed (including their IIN). [Lawyer: confirm under the Tax Code in force from 1 January 2026.]

9. Ratings and quality

9.1. Passengers rate trips from 1 to 5 stars and pick tags. The driver sees their average rating but not who gave which rating.

9.2. The Company uses ratings, tags, complaints and cancellations to monitor quality. If the average rating falls below [threshold], the Company may propose quality measures to the driver or restrict their admission.

10. Blocking

10.1. The Company may block a driver's access to orders if:

  1. documents are false or expired, or the driver has lost the right to drive;
  2. the driver works in another car or has handed the account to someone else;
  3. there are well-founded complaints of dangerous driving, rudeness, harassment or drink-driving;
  4. the driver falsely confirmed or denied a transfer, asked for extra payment or committed other fraud;
  5. the average rating or number of cancellations is consistently worse than the set threshold;
  6. the driver has otherwise breached the law or this Agreement.

10.2. The Company tells the driver about the blocking and its reason. The driver can challenge it through support; a Company employee reviews the challenge. Where passengers' safety is at risk, blocking takes effect immediately.

10.3. Blocking does not release the parties from settlement: a positive balance is paid to the driver less the Company's justified claims.

11. Liability

11.1. The driver is responsible to passengers and third parties for the carriage, harm to life, health and property, traffic offences, fines and the requirements for taxi carriers. If claims are made against the Company through the driver's fault, the driver reimburses the Company's costs.

11.2. The Company is responsible for the availability of the Service and the correctness of settlements. It does not guarantee any number of orders or income. Except for intent or gross negligence, the Company's liability to the driver under this Agreement is limited to the commission the driver paid in the last [3] months.

12. Personal data

The Company processes the driver's personal data under the Consent to the collection and processing of personal data and the Privacy Policy. The driver agrees that passengers see the driver's name, phone number, car details, average rating, the car's position during an order and, for transfer payments, the transfer details. The driver undertakes not to disclose passengers' personal data and to use it only to carry out the order.

13. Term, changes and termination

13.1. The Agreement is concluded for an indefinite term when the driver submits documents for review with a tick confirming agreement to it.

13.2. The Company may change the Agreement by publishing the new version in the App at least [7] calendar days before it takes effect. Continuing to work after that means agreeing to the new version.

13.3. The driver may terminate the Agreement at any time by telling support. The Company may terminate it with [7] calendar days' notice, or immediately on the grounds in clause 10.1. The balance is settled within [10] working days after termination.

14. Governing law and disputes

The Agreement is governed by the law of the Republic of Kazakhstan. Disputes are settled by negotiation, and failing agreement by the court of the Company's location, unless the law provides otherwise. Complaints go to support or to 160A Raiymbek Avenue, Almaly District, Almaty 050061, Kazakhstan; the reply period is [15] calendar days.

15. Language

The Agreement is made in Kazakh and Russian. This English text is a courtesy translation without legal force. [Lawyer: decide which text prevails if the Kazakh and Russian texts differ.]
